Nadella not knowing what is going on is not news, it was quite obvious when I was there. The culture at MS revolves around lying to management and this is reinforced by the fact that Nadella never follows through on any of his speeches about fixing it, so incentives to lie increase every year.
The board doing something about it would be news.
