Why didn't twitter have dual class before IPO ? Was it a board decision? From old write-ups and book, it seems that board held the most amount of control on direction of the company from the get-go. And the cap table of co-founder's shares seemed diluted a little too early in the game @jack @rabble

Over here, if there is a 75% vote by board, you can set up a diff class. But all it takes is 10% to file disallowance in court. So i’d reckon it would have been easier if the very early stages investors did it. Or if it was done before IPO, it could have still distinguished itself and prevented th...

Back when Twitter Inc was founded the idea of super voting shares was very new and unproven. I don’t know why Ev Wiliams didn’t do that when he reset the cap table a couple years in to the company.
